The work takes less time. The bill is harder to justify. Generative AI has created that problem for law firms by compressing drafting and research into minutes while leaving verification and judgment as invisible, time-consuming work. Ethics guidance increasingly agrees: lawyers may only bill for hours actually spent, not for what the same task would have required before automation. The question facing firms is whether engagement terms and billing descriptions can prove reasonableness when timekeeping logic has fundamentally changed.

Efficiency Breaks the Old Fee Logic

American fee ethics starts with Rule 1.5’s reasonableness framework, which most jurisdictions track in some form, even when wording varies. The familiar factors still govern, including time and labor, novelty and difficulty, skill required, customary fees, results, time limits, relationship, and lawyer experience. Generative AI changes the weight of those factors. Time and labor can shrink, while the skill component shifts toward judgment, verification, and accountable supervision. A lawyer who bills purely on “what this used to take” is heading toward an invoice dispute.

Hourly billing asks a blunt question: how much time did the lawyer spend? Value billing asks a different question: what did the client agree to buy? AI pushes firms to answer those questions with more precision in engagement language and more discipline in billing descriptions.

A useful internal test is whether a stranger reading the invoice could identify the human work that still matters after automation, such as scoping, tailoring, confirming citations, checking factual assertions, validating quotes, and aligning the output with client objectives. The more a matter depends on those professional steps, the less persuasive a “time saved” mental model becomes, and the more dangerous padded hours become.

Ethics Opinions Converge on AI Billing

Formal guidance has tightened the billing story into a set of guardrails that repeat across jurisdictions. The ABA’s Formal Opinion 512 treats fees and expenses as a core risk area, not a footnote, and frames the billing question around reasonableness and candor about what the client is paying for. The opinion also draws a line between billing for professional work and billing for inefficiency, which becomes harder to justify as AI accelerates routine tasks.

Several state and local sources make the “time actually spent” principle explicit. The D.C. Bar’s Ethics Opinion 388 addresses fees and expenses in generative AI matters and emphasizes that billing must reflect work performed, while cost treatment depends on client agreement and the nature of the charge. Oregon’s comprehensive Formal Opinion 2025-205 surveys AI risks across competence, confidentiality, supervision, and client communication, and its fee discussion fits the same pattern: billing cannot become a disguised surcharge for work the lawyer did not do.

Virginia’s Legal Ethics Opinion 1901 addresses billing and client communication issues in the generative AI context, reinforcing that fee reasonableness and transparency do not relax when technology changes the workflow. California’s Generative AI Practical Guidance states the principle in plain terms and ties it to engagement clarity, including how the lawyer will handle AI-related costs.

Pennsylvania’s joint bar guidance matters because it reflects how fast consensus is forming across large jurisdictions. The Pennsylvania Bar Association’s public ethics-opinion index links to Joint Formal Opinion 2024-200, which treats AI as a practice-management issue that triggers familiar professional duties, including how lawyers describe work, supervise outputs, and communicate costs and risks. New York City’s Formal Opinion 2024-5 covers related duties, and the City Bar’s compendium of ethics guidance on generative AI is a practical way to track how these positions line up across jurisdictions.

Time No Longer Equals Value

Hourly billing survives generative AI when time entries become more honest, not more creative. AI can reduce first-pass drafting from hours to minutes, but it does not remove the lawyer’s duty to think, verify, and own the result. The billable time that remains defensible is the time spent setting the scope, selecting strategy, crafting prompts or instructions that reflect legal judgment, reviewing the output, checking citations, correcting errors, tailoring the document to facts, and confirming that the work product matches the client’s objectives and risk tolerance.

That distinction is why many ethics sources warn against billing for “what would have happened” in a pre-AI workflow. When a tool accelerates a task, time saved is not billable time. A time entry that treats AI as invisible will look inflated if the client later learns the task was automated. A time entry that treats AI as a substitute for judgment will look careless if the output contains errors. The defensible middle ground is transparency about human review and accountability, without turning invoices into a product demo.

Firms also need a disciplined view of nonbillable learning time. Several ethics sources treat baseline competence as overhead rather than a client-funded training program. Clients will pay for case-specific judgment; they will resist paying for a lawyer to learn how to operate a tool at a basic level. Even where a task involves building a matter-specific workflow, billing narratives should describe the legal purpose, such as validation steps, issue spotting, and risk-control gates, rather than “learning the platform.”

Timekeeping systems are part of the risk. If a firm’s billing codes do not distinguish drafting from verification, a client audit can treat AI-driven drafting as commodity work and haircut it. The better strategy is to align codes and descriptions to what still carries professional value: analysis, tailoring, negotiation strategy, citation verification, privilege review decisions, and client-specific risk assessment.

Generative AI also forces a second billing question: when, if ever, can a firm pass tool costs to the client? Ethics guidance tends to treat this as a client-agreement problem combined with a classification problem. A per-use, matter-specific charge can look like a reimbursable expense when the client consents and the charge is allocable. A general subscription that supports the entire practice can look like overhead.

California’s Practical Guidance connects cost treatment to fee agreement clarity. The D.C. Bar’s Opinion 388 addresses client communication around expenses tied to generative AI. The Oregon opinion reinforces that the reasonableness and transparency frame applies to both fees and related charges.

Florida’s position is frequently cited because it speaks directly to the temptation to mark up technology. The Florida Bar’s Ethics Opinion 24-1 addresses this issue directly. These materials reflect a recurring theme: lawyers should avoid charging clients more than actual, attributable costs for tool usage unless the engagement terms clearly support a different arrangement that remains reasonable.

The simplest operational rule is “decide before the invoice.” If a firm wants to treat a generative AI feature as a matter expense, the engagement agreement should say so, explain the basis, and define whether the firm will pass through actual costs, capped costs, or a disclosed administrative rate. Surprises on invoices become disputes. Disputes become audit flags. Audit flags become outside-counsel guideline revisions.

Fixed Fees Gain Ground

Generative AI makes alternative fee arrangements easier to justify because clients are no longer buying time as a proxy for output. They are buying outcome-oriented work performed under controlled processes. Flat fees, phased fees, subscriptions, and capped fees all benefit from AI-driven efficiency, as long as the lawyer’s process still meets competence and verification duties.

Ethics guidance still keeps a ceiling: a flat fee must remain reasonable. The key shift is how firms defend reasonableness. Rather than pointing to hours, firms can point to scope definition, the complexity of the risk profile, the number of deliverables, turnaround requirements, the verification workflow, and the accountability structure. The ABA’s Formal Opinion 512 and the Virginia opinion both reinforce that technology does not exempt a lawyer from reasonableness analysis, even when the billing method changes.

Alternative fees also reduce the “time saved” anxiety that drives client suspicion. When a client agrees to a fixed price for a defined deliverable, time compression becomes the firm’s operational reward rather than a billing controversy. The firm still needs to avoid understaffing verification, because a faster draft that contains errors is not a bargain.

Client pressure is also pushing firms toward hybrid models. From Policy to Invoice

Billing risk usually collapses into drafting risk. The firms that handle AI billing well treat it as a systems problem with contract language, policy controls, training, and invoice hygiene. A workable implementation model has three layers: engagement terms, internal workflow controls, and billing descriptions.

Engagement terms should answer the questions clients will ask during an audit. Language can disclose that the firm may use technology-assisted tools, define that clients will be billed for professional time actually spent, and clarify how the firm handles AI tool costs. Billing descriptions should name the professional work that remains after automation. Good descriptions highlight tailoring, strategy, verification, and risk analysis. Bad descriptions highlight activity for activity’s sake. Time entries that read like “drafted memo” will trigger skepticism when the client suspects automation. Time entries that read like “validated authorities, corrected citations, tailored analysis to client facts, confirmed compliance posture” explain why professional time still matters, even when the first draft arrived quickly.

Firms also need a clear position on reuse. Templates, prior work product, and playbooks have always created a billing question. Generative AI amplifies it because reuse becomes easier and less visible. Ethics guidance does not ban efficiency, but it does require honesty about what the client is paying for. A defensible approach treats reuse as part of the firm’s competence, while billing reflects the actual professional time spent tailoring and verifying for the matter at hand.

Billing strategy is ultimately a credibility strategy. Clients are not demanding that lawyers reject automation. Clients are demanding that lawyers stop pretending automation is not happening. The firms that respond well will build pricing models that reward efficiency without disguising it, and will write invoices that describe professional judgment rather than nostalgic labor.
